Terms of Service

These terms govern your use of the Coveroff platform. Please read them carefully before creating an account.

Acceptance

By creating an account or using the Coveroff platform, you agree to these Terms of Service on behalf of yourself and any organisation you represent ("Customer"). If you do not agree, do not use the service.

These terms form a binding agreement between the Customer and Coveroff Ltd. ("Coveroff", "we", "us"), designed and built in California.

The service

Coveroff is a regulatory information management system (RIMS) for generic crop-protection and agrochemical companies. It provides tools for managing submissions, dossier builds, registrations, formulations, tasks, and related regulatory workflows.

We may update or change the service from time to time. Material changes to functionality will be communicated with reasonable notice. We do not guarantee that any specific feature will remain available indefinitely.

Early access

Coveroff is currently in early access. This means:

— The product is under active development. Features may change, be added, or be removed. — Pricing is indicative and subject to change. We will notify you in writing before any price change takes effect. — We work directly with each customer during onboarding. There is no self-serve signup. — We may limit access if the service cannot be provided to the required standard.

Early access customers accept that they are using pre-general-availability software and agree to provide reasonable feedback where requested.

Accounts and access

You are responsible for maintaining the security of your account credentials. You must promptly notify us at hello@coveroff.com if you become aware of any unauthorised access.

Each seat is for a single named user. Sharing login credentials between multiple individuals is not permitted. You may add additional users up to the limit of your plan.

Acceptable use

You may use Coveroff only for lawful regulatory affairs and compliance workflows. You must not:

— Use the service to store or process data you are not authorised to hold — Attempt to reverse-engineer, decompile, or extract proprietary components — Use automated scripts or bots to scrape or mass-extract data — Resell or sublicense access to the service without our written consent — Upload malware, illegal content, or content that infringes third-party rights

We reserve the right to suspend access without notice where these restrictions are breached.

Your data

All regulatory workflow data you enter into Coveroff — submissions, dossiers, registrations, formulations, studies, and related records — belongs to you.

We process your data solely to operate the service. We do not sell it, use it to train models, or share it with third parties outside of subprocessors required to run the service (listed in our Privacy Policy).

You may export your data at any time through the application. Upon cancellation, we will retain your data for 90 days to allow export, after which it will be permanently deleted.

Payment

Coveroff is billed annually. Payment terms are agreed directly with each customer during onboarding and documented in a separate order form or subscription agreement.

Invoices are due within 30 days of issue. Late payment may result in suspension of access. Prices are in EUR unless otherwise agreed.

We do not offer refunds for partial periods, except where required by applicable law or as agreed in your order form.

Confidentiality

Each party agrees to keep the other's confidential information — including pricing, product roadmaps, business data, and technical details — strictly confidential. This obligation survives termination of these terms for a period of 3 years.

Customer regulatory data is treated as confidential at all times. Our employees access it only where necessary to provide support or resolve technical issues.

Uptime and support

We aim to maintain service availability of 99.5% measured monthly, excluding scheduled maintenance. During early access, formal uptime SLAs apply only where explicitly agreed in your order form.

Support is provided by email. Response times vary by plan. Enterprise customers may have support terms defined separately.

Limitation of liability

To the maximum extent permitted by applicable law, Coveroff's total liability for any claim arising out of or related to these terms or the service shall not exceed the fees paid by you in the 12 months prior to the claim.

We are not liable for indirect, consequential, incidental, or punitive damages, including loss of profit, loss of regulatory approvals, or loss of data — except where caused by our gross negligence or wilful misconduct.

Nothing in these terms limits liability for death or personal injury caused by negligence, or for fraud.

Termination

Either party may terminate with 30 days' written notice at the end of any subscription period. We may terminate immediately if you breach these terms and fail to remedy the breach within 14 days of written notice.

Upon termination, your access to the service will cease. Your data will be retained for 90 days and then permanently deleted, in accordance with our Privacy Policy.

Governing law

These terms are governed by the laws of the State of California, USA. Any disputes arising from or related to these terms shall be subject to the exclusive jurisdiction of the courts of California.

If you are a consumer in the EU, mandatory consumer protection laws of your country of residence also apply.

Changes to these terms

We will notify you by email at least 30 days before any material change to these terms takes effect. Continued use of the service after the effective date constitutes acceptance. If you do not agree to the updated terms, you may terminate your subscription before the effective date.

These terms are effective as of 10 April 2026 and supersede all prior agreements relating to the Coveroff service. Governed by California law.
